    1. Agreement to Terms

    By accessing and using the services provided by Osiris IT Services Ltd ("we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

    3. Service Level Agreements

    Service levels, response times, and performance metrics are detailed in separate Service Level Agreements (SLAs) specific to each service package. These SLAs form part of your contract with us.

    4. Client Responsibilities

    As our client, you agree to:

    • Provide accurate and complete information necessary for service delivery
    • Maintain appropriate security measures on your systems
    • Cooperate with our technicians and follow security protocols
    • Notify us promptly of any issues or changes to your requirements
    • Pay invoices according to agreed payment terms
    • Maintain valid backup systems and disaster recovery procedures

    5. Payment Terms

    Unless otherwise specified in your service agreement:

    • Monthly services are billed in advance
    • Project work may require deposits or milestone payments
    • Payment is due within 30 days of invoice date
    • Late payments may incur interest charges
    • Unpaid accounts may result in service suspension

    6. Intellectual Property

    All intellectual property rights in our services, documentation, and proprietary technologies remain our property. You retain ownership of your data and business information.

    7. Confidentiality

    We maintain strict confidentiality regarding your business information and data. We will not disclose confidential information except as required by law or with your consent.

    8. Data Protection

    We process your personal data in accordance with applicable data protection laws and our Privacy Policy. We implement appropriate technical and organizational measures to protect your data.

    9. Limitation of Liability

    Our liability is limited to the greatest extent permitted by law. In no event shall our total liability exceed the amount paid by you for services in the 12 months preceding the incident giving rise to liability.

    We are not liable for:

    • Force majeure events beyond our control

    10. Service Warranties

    We warrant that our services will be performed with professional skill and care. We do not provide warranties beyond those expressly stated in your service agreement.

    11. Termination

    Either party may terminate services with appropriate notice as specified in your service agreement. Upon termination:

    • You remain responsible for charges incurred up to the termination date
    • We will return or securely destroy your data as requested
    • Ongoing support obligations cease unless otherwise agreed

    12. Force Majeure

    Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, or telecommunications failures.

    13. Governing Law

    These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.

    14. Changes to Terms

    We reserve the right to modify these terms at any time. Material changes will be communicated to clients with appropriate notice. Continued use of our services constitutes acceptance of modified terms.

    15. Entire Agreement

    These terms, together with your service agreement and any applicable SLAs, constitute the entire agreement between the parties.
